Personal Property and Real Estate Auction September 28, 2009

    

1. Auctioneer will receive bids from any
    registered bidder.
  
2. It is at the Auctioneers discretion to accept
    any bid over the prior bid.
  
3. This property is being sold in “as is,
    where-is’ condition with no contingencies
    as to Buyer obtaining necessary financing
    or selling another property to obtain
    necessary closing funds. Broker and
   Auctioneer make no representation as to
   the condition of the Property.
  
4. The successful bidder must:

a.

Tender the required deposit to the
Broker/Auctioneer

b.

Execute the Agency Disclosure,
Terms & Conditions, & Sales     Agreement

c.

Pay all closing costs allowed under
state law and the Buyer's              Premium.

d.

Settle within 60 days of the auction.

5. A 10% Buyers Premium will be added to
    the total bid price and included in the total
    contract price. This Buyers Premium does
    not imply an agency relationship between
    Auctioneer and the buyer. Auctioneer

    Done Right, LLC and all staff and
    employees are agents of the Seller.
  
6. Bidders will be identified by number
    rather then by name in order to expedite
    the auction.
  
7. The Auctioneers decision in final in the
    event of a dispute over any auction
    matter.
  
8. All rights, privileges and powers
    reserved or granted to Auctioneer in
    these Terms of Auction shall be
    deemed reserved and granted to
    Broker Auctioneers employees,
    representatives, and any sellers the
   Auctioneer represents.
  
9. In order for a commission to be paid
    to a buyers agent, the agent must be
    present at the auction and provide a
    buyer-agency disclosure and the
    "Brokerage/Sales Agent Participation
    Form" to the auctioneer at least 24
    hours prior to the start of the auction.
    Contact Auctioneer for a copy if  
    needed.
  
10. Announcements made the day of
      auction may take precedence over
      these Terms of Auction or other
      printed material.

 

11. Successful bidder will be required to tender a 10%
      non-refundable deposit on the day of the auction.
  
12. In order to be a registered bidder that can bid online,
      each online bidder shall have deposited with Broker a
      $25,000 bid surety deposit that will be held in broker's
      trust account and either applied to the required deposit if
      they are the successful bidder or promptly returned to the
      online bidder if they are not the successful bidder.
  
13. Property shall be offered in 6 individual parcels and
      three combinations of parcels thereof. The parcels are to
      be identified as follows:

Parcel #1 - 1.81 Acres containing the service station and warehouse buildings
Parcel #2 - 12.24 Acres containing the horse barn
Parcel #3 - 9.18 Acres along Route 21, the northern
parcel
Parcel #4 - 20.63 Acres along Route 21, the northern parcel
Parcel #5 - 116.16 Acres and 2.981 Acre right of way, the western parcels
Parcel #6 - 29.78 Acres and 2.981 Acre right of way, the eastern parcel

14. Parcels # 1 and # 2 will be offered individually and as a
      combination and will sell to highest and best last bidder
      or bidders. Parcels # 3 and # 4 will be offered individually
      and as a combination and will sell to highest and best last
      bidder or bidders. Parcels # 5 and # 6 will be offered
      individually and as a combination and will sell to highest
      and best last bidder or bidders.
  
15. Seller has paid for and will provide a survey and
      description of parcel(s) purchased by Buyer prior to
      closing.
